frieNDA is not a law firm. The NDA templates available through frieNDA are provided for convenience and have been reviewed by licensed attorneys. However, frieNDA itself does not provide legal advice and is not a substitute for consulting a qualified attorney.

No Attorney-Client Relationship

Using frieNDA does not create an attorney-client relationship between you and frieNDA, or between you and any attorney who has reviewed the templates. Communications through frieNDA are not confidential attorney-client communications.

Attorney-Reviewed Templates

NDA templates provided by frieNDA have been reviewed by licensed attorneys licensed to practice in North Carolina. The templates include arbitration provisions, equitable relief provisions, and fee-shifting language where appropriate. Each NDA records which clause versions were used, and these cannot be changed after signing.

Arbitration

Disputes arising from NDAs created through frieNDA are subject to binding arbitration in Charlotte, North Carolina. The specific arbitration provider (AAA or JAMS) is designated in the NDA terms. Either party may seek injunctive relief from the state or federal courts in Mecklenburg County, North Carolina, to prevent imminent or ongoing harm.

Electronic Signatures

frieNDA supports two signing methods: wallet-based signatures (where a payment serves as the signature) and email-verified signatures (where typing your legal name after email confirmation serves as the signature). Both methods are legally binding under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and applicable North Carolina law.

Breach Referral Service

If you believe an NDA has been breached, frieNDA offers a referral to a licensed attorney. This is a referral service only. The attorney is not employed by frieNDA, and frieNDA does not guarantee any particular outcome. The attorney's identity is shared only if they accept the referral.

Privacy

frieNDA stores your email, wallet address, and signing history. IP addresses are hashed and stored for evidence purposes. Your idea content is encrypted and only decrypted when a valid signature is recorded. frieNDA does not sell your data.
